By accessing or using SellSync ("the Platform"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use our services. These terms apply to all users, including sellers, administrators, and visitors.

2. Description of Services

SellSync provides an AI-powered marketplace automation platform that helps sellers optimize their operations on Amazon, eBay, and Walmart Marketplace. Our services include automated advertising management, keyword optimization, Buy Box monitoring, competitor analysis, budget adjustments, and AI-powered customer responses.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old and have the legal authority to enter into this agreement
• One person or entity may not maintain more than one account without prior authorization

4. Marketplace Integrations

By connecting your marketplace accounts, you authorize SellSync to access and modify your listings, pricing, advertising campaigns, and other settings as necessary to provide our automation services. You remain solely responsible for compliance with each marketplace's terms of service and policies.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of marketplace policies
• Attempt to reverse-engineer, decompile, or disassemble any part of our software
• Share your account access with unauthorized third parties
• Interfere with or disrupt the Platform's infrastructure
• Use automated tools to scrape or extract data from our Platform

6. Fees and Payment

• Pricing is available on our website and may change with 30 days' notice
• Free trial periods are provided without requiring a credit card
• Paid subscriptions are billed monthly or annually as selected
• Refunds are handled on a case-by-case basis within 14 days of purchase

7. Intellectual Property

All content, features, and functionality of the Platform — including AI models, algorithms, software, text, graphics, and logos — are owned by SellSync and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of your marketplace data.

8. Limitation of Liability

SellSync provides automation tools on an "as is" basis. We do not guarantee specific sales results, Buy Box win rates, or revenue increases. To the maximum extent permitted by law, SellSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including lost profits or lost data.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated optimizations will always produce positive results. Marketplace algorithms and policies may change without notice, affecting automation outcomes.

10. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these terms or engage in activity that harms other users or the Platform. Upon termination, your right to use the Platform ceases immediately. We will retain your data for 30 days after termination to allow for data export.

11. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
